1. Acceptance of Terms

By accessing or using TradeSimPro's desktop application, website, and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

TradeSimPro is a trading simulation platform that allows users to practice trading strategies using historical market data. The Service is provided for educational and practice purposes only. TradeSimPro does not provide financial advice, investment recommendations, or brokerage services. We are not a registered broker-dealer, investment adviser, or financial institution.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for unauthorized purposes.

4. Subscriptions and Payments

Monthly Subscriptions. TradeSimPro is sold as a monthly subscription. Plans are billed on a recurring basis and you authorize us to charge the payment method on file each billing cycle. Subscriptions renew automatically unless cancelled before the end of the current billing period.

Refunds. A 7-day money-back guarantee applies to your first payment. See our Refund Policy for details.

Cancellation. You may cancel at any time from your account's Billing page. You will retain access to the Service until the end of your current billing period, and no further charges will be made.

Price Changes. We reserve the right to change pricing at any time. Existing subscribers will be notified at least 30 days before any price increase takes effect.

Taxes. All prices are exclusive of applicable taxes. You are responsible for any taxes, duties, or levies imposed by your jurisdiction.

5. License and Intellectual Property

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial educational purposes.

All content, features, and functionality of the Service — including but not limited to software, code, design, text, graphics, logos, and documentation — are owned by TradeSimPro and protected by intellectual property laws. You may not:

• Copy, modify, distribute, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble any part of the software
• Remove or alter any proprietary notices or labels
• Use the Service for any commercial purpose, including reselling access
• Share, transfer, or sublicense your account or license key to others

6. User Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service or its systems
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful data
• Scrape, crawl, or extract data from the Service without written permission
• Impersonate another person or entity
• Use automated means (bots, scripts) to access the Service

7. Market Data

The Service allows you to import and use third-party historical market data for simulation purposes. TradeSimPro does not guarantee the accuracy, completeness, or timeliness of any market data. You are responsible for ensuring your use of third-party data complies with the data provider's terms and conditions.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. SIMULATION RESULTS DO NOT GUARANTEE FUTURE TRADING PERFORMANCE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADESIMPRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless TradeSimPro and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your license to use the Service immediately ceases
• You must stop using the software and delete all copies
• We may delete your account data after a reasonable retention period

Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TradeSimPro operates, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration, except where prohibited by law.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
